MXM Casting Terms and Conditions

Introduction: MXM Casting provides casting services for actors, social talent (influencers), real people, and Digital Doubles (synthetic talent and voice cloning) for online adverts, television commercials, TV shows, and generative media pipelines. Our services are contracted by production companies seeking to outsource casting and talent-sourcing responsibilities.

Services Provided:

Casting Services:

  • Sourcing and shortlisting suitable talent as per the production brief.

  • Conducting auditions and providing audition facilities if required.

  • Coordinating call-backs and finalizing talent selection.

  • Handing over selected talent details to the production company.

Digital Double & Synthetic Casting:

  • Sourcing and shortlisting biometric-ready talent willing to license their 3D facial scans, motion capture, and voice prints.

  • Brokering the introduction between the production company and the talent specifically for generative AI pipelines.

  • Providing standardized biometric capture assets (where applicable) to the production company for post-production rendering.

Consultation:

  • Advising on the casting process, industry standards, and best practices.

  • Assisting with talent negotiations within the scope of casting.

Administrative Support:

  • Providing necessary documentation for casting processes.

  • Maintaining records of auditions and talent profiles.

Synthetic Engagements & Generative Boundaries: For any project involving the use of a Candidate’s "Digital Double," voice clone, or biometric data (a "Synthetic Engagement"), the production company (the Client) strictly agrees to the following conditions:

  • Permitted Scope: The Client must draft and execute a separate, specific licensing agreement directly with the talent (or their agent) defining the exact permitted use of the digital replica (e.g., specific campaign, duration, and geographic territory).

  • Prohibited Outputs: Unless explicitly agreed upon in writing by the talent, the Client is strictly prohibited from using the talent's likeness or voice to generate content that includes: political messaging or endorsements, non-consensual explicit or adult content, hate speech, defamation, or content that radically alters the talent's age or body shape.

  • Asset Destruction: Upon the expiration of the agreed licensing term, the Client is responsible for cryptographically destroying or deleting any fine-tuned AI models (e.g., LoRA weights) or voice-cloning models trained on the talent's data.

Fees and Payment:

  • Fees for casting services will be charged on an hourly or project basis as agreed upon in the contract.

  • Invoices will be issued upon completion of services, with payment terms specified in the individual contract.

Responsibility and Liability:

  • Independent Service Disclaimer: MXM Casting is an independent casting service that connects actors, social talent, and individuals with production companies. MXM Casting is not responsible for the treatment, payment, contractual agreements, or safety and well-being of the individuals cast for any project. The production company (our client) is solely responsible for ensuring that all individuals are properly contracted, compensated, and their safety and well-being are maintained throughout the project.

  • Background Checks Disclaimer: MXM Casting does not carry out background checks on individuals who have been cast unless explicitly requested by the client. Therefore, MXM Casting accepts no responsibility for any adverse outcomes resulting from the lack of background checks.

  • MXM Casting operates as an independent service provider and accepts no responsibility for drawing up contracts between talent and the production company.

  • MXM Casting is not responsible for managing payments to talent or risk assessing filming environments.

  • The production company assumes full responsibility for the management and welfare of talent once the casting handover is complete.

  • Synthetic Output Disclaimer: MXM Casting acts solely as the facilitator and introductory broker for Digital Doubles and biometric data. MXM Casting accepts no liability for the AI-generated outputs, final rendered videos, or synthesized audio produced by the Client.

  • Legal and Union Compliance: The Client is exclusively responsible for ensuring that their use of generative AI complies with all applicable intellectual property laws, copyright standards, and union guidelines (e.g., Equity or SAG-AFTRA digital replica regulations).

  • Indemnification: The Client agrees to indemnify and hold MXM Casting harmless against any legal claims, reputational damage, or financial penalties arising from the Client’s misuse of a talent's digital likeness, breach of generative boundaries, or failure to secure proper chain-of-title documentation.

Confidentiality:

  • MXM Casting commits to maintaining the confidentiality of all information related to the production and talent.

  • Client information and project details will not be disclosed to third parties without prior consent, except as required by law.

Data Protection:

  • MXM Casting adheres to UK GDPR regulations and ensures all personal data collected is handled securely.

  • Talent data will only be shared with the production company and relevant parties as necessary for the casting process.

  • Biometric Data Transfer: In the event of a Synthetic Engagement, MXM Casting will securely transfer the talent's biometric data to the Client. Upon receipt, the Client becomes the sole Data Controller of that biometric information and assumes full legal responsibility for its secure storage, ethical processing, and timely destruction in accordance with UK GDPR.

Disclaimers:

  • MXM Casting provides casting advice and services with the best possible knowledge and intention. However, the final implementation of recommendations is at the production company’s discretion.

  • MXM Casting cannot be held liable for any adverse outcomes resulting from the production company’s actions or decisions post-handover.

Amendments:

  • MXM Casting reserves the right to amend these Terms and Conditions. Clients will be notified of any significant changes.
